User Obligations

Limitation of Liability

To the maximum extent permitted by law, CobaltTrail shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you for the specific services giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

Indemnification

You agree to indemnify and hold harmless CobaltTrail, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

Payment Terms

Payment terms for our services will be specified in individual service agreements. Unless otherwise agreed, payment is due within 30 days of invoice date.

Late payments may incur interest charges at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

All fees are exclusive of taxes, which you are responsible for paying.

Confidentiality

We respect the confidentiality of your project information and will not disclose confidential information to third parties without your consent, except as required by law.

You agree to keep confidential any proprietary methodologies, tools, or information shared by CobaltTrail during the provision of services.

Termination

Either party may terminate a service agreement with written notice as specified in the individual agreement. In the absence of specific terms, either party may terminate with 30 days' written notice.

We may suspend or terminate your access to our website immediately if you violate these Terms or engage in any harmful or illegal activities.

Upon termination, you remain liable for all fees incurred prior to termination, and all confidentiality obligations survive termination.

Force Majeure

CobaltTrail shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labour disputes, or government actions.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Cyprus, without regard to its conflict of law principles.

Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts of Cyprus.

Changes to Terms

We reserve the right to modify these Terms at any time. Updated Terms will be posted on our website with a revised "Last updated" date.

Your continued use of our website or services after any changes constitutes acceptance of the modified Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall continue in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any specific service agreements, constitute the entire agreement between you and CobaltTrail regarding the use of our website and services.
